1. Purpose, scope and order of precedence
1.1. These Homologation Regulations apply to any Homologation, accreditation, registration, qualification, pre-qualification or similar assessment carried out by Synergrid, hereinafter collectively referred to as the “Homologation”.
1.2. These Regulations apply exclusively in a B2B context and are supplementary to Synergrid’s applicable General Terms and Conditions of Sale and Service.
1.3. The specific Homologation procedure is governed by these Regulations, which take precedence over general provisions insofar as they differ from them or are more specific.
1.4. The Homologation is carried out exclusively within the specified product, system, installation or application category and in accordance with the applicable Technical Criteria and procedure.
2. Definitions
For the purposes of these Regulations, the following definitions apply:
2.1. “Applicant”: the company applying for Homologation;
2.2. “Holder”: the company to which a Homologation has been granted;
2.3. “Application”: a request submitted through the official channel to obtain, amend, extend or renew a Homologation;
2.4. “Application File”: the Application, documents, samples, test results, audit reports, correspondence and Decision;
2.5. “Technical Criteria”: all applicable technical regulations, standards, specifications, test methods, reference documents and assessment criteria;
2.6. “Change”: any change to a product, system, software, production process, supplier, legal entity or other circumstance that may affect the assessment;
2.7. “Decision”: Synergrid’s formal decision regarding the granting, restriction, refusal, suspension or revocation of a Homologation;
2.8. “Working Day”: every day from Monday to Friday, except for Belgian public holidays.
3. Acceptance upon submission of the Application
3.1. The Applicant may only submit an Application for Homologation after explicitly accepting these Homologation Regulations by ticking a separate box or providing an equivalent electronic confirmation.
3.2. The Applicant shall confirm separately, by ticking a second checkbox or providing equivalent electronic confirmation, that they have taken note of Synergrid’s privacy statement. This confirmation does not constitute a waiver of any rights under the applicable data protection legislation.
3.3. The person submitting the Application on behalf of a company confirms that they are authorised to represent the company or that the company accepts the Application and the resulting obligations through subsequent confirmation, payment, handling of the Application File, participation in the procedure or use of the Homologation.
3.4. Synergrid may technically record the electronic acceptance and store it as acceptance evidence.
4. Submission and completeness of the Application
4.1. An Application may only be submitted via the official channel designated by Synergrid. An automatic acknowledgement of receipt merely confirms technical receipt and does not constitute substantive acceptance, confirmation of completeness or a positive assessment.
4.2. The Applicant shall provide all information, documents, samples, test results, statements and additional data that Synergrid reasonably considers necessary for the assessment.
4.3. Synergrid may reject, suspend or close an Application in the event of incompleteness, lack of authority, lack of cooperation, a conflict of interest, capacity constraints, security, integrity or compliance-related risks, or where the Application falls outside the scope of its activities or expertise.
5. Technical criteria and applicable version
5.1. The Homologation is carried out on the basis of Technical Criteria that Synergrid declares applicable to the relevant product, system, installation or application category.
5.2. The Applicant remains responsible for selecting the correct version, checking the date, scope, restrictions and errata, ensuring the correct application of the Technical Criteria, and complying with legislation, licences, standards and safety regulations.
6. Assessment, testing and third parties
6.1. Synergrid determines the method of assessment, including a review of the Application File, technical analysis, testing, audits, declarations, additional information requests or assessment by internal or external experts.
6.2. Where external laboratories, inspection bodies, experts or other parties are engaged, the Applicant remains responsible for providing timely cooperation, accurate information and compliance with the applicable procedural and payment terms.
6.3. Synergrid may set or adjust reasonable time limits depending on the complexity of the Application File, the availability of information, testing capacity, external dependencies, and security, integrity or compliance considerations.
7. Decision, period of validity and conditions
7.1. Synergrid independently decides whether a Homologation is granted, refused, restricted, suspended, revoked or made subject to conditions.
7.2. A Homologation is valid only within the scope, conditions, restrictions and period of validity as communicated or published by Synergrid.
7.3. A Homologation does not constitute a general guarantee of quality, safety, conformity or market authorisation, nor does it replace legal inspections, project-specific assessments, risk analyses, professional advice or checks on local conditions.
8. Changes and obligation to notify
8.1. The Applicant or Holder shall immediately notify Synergrid of any Change that may affect the assessment, validity, scope, safety, conformity, production, documentation or publication of the Homologation.
8.2. Following a Change, Synergrid may request additional information, tests, audits, conditions, a new Application or a reassessment.
8.3. Failure to report, or late or incomplete reporting of, a relevant Change may result in suspension, restriction or revocation of the Homologation, correction of publications, or refusal of further processing.
9. Publication and use of the Homologation status
9.1. Synergrid may publish information concerning, among other things, the Holder or manufacturer, the product, the scope, restrictions, period of validity, applicable Technical Criteria and Homologation status.
9.2. A Homologation may have one of the following statuses: application submitted, under review, valid, valid subject to conditions, restricted, suspended, expired, refused or revoked. Only the most recent status update published or communicated via the official Synergrid channel shall be authoritative.
9.3. The Holder may only use Synergrid’s name, trademarks, logos, certificates or Homologation status within the authorised scope and in a manner that does not give the false impression of partnership, sponsorship, endorsement, general approval or broader compliance.
9.4. Synergrid may correct apparent publication errors and take action against misleading, incorrect, out-of-date or harmful use of a Homologation status, including the use of expired, suspended or revoked statuses, or commercial communications that suggest an endorsement by Synergrid.
10. Confidentiality, information security and competition law
10.1. The Applicant shall only share information for which it holds the necessary rights and authorisations, and guarantees that such information is lawful, accurate, complete, secure, non-misleading and free from malicious software.
10.2. Confidential Information may only be shared with authorised persons. Distribution, publication or commercial use outside the group of authorised persons requires the prior written consent of Synergrid or the rights holder.
10.3. If the Applicant considers that certain information provided to Synergrid in connection with an Application requires additional contractual confidentiality protection, they may request that Synergrid provide its applicable non-disclosure agreement template. Synergrid will assess this request on the basis of the nature of the information, the Application File and the applicable procedure.
10.4. Any non-disclosure agreement shall be concluded exclusively on the basis of the template provided by Synergrid. Any non-disclosure agreements, deviating terms or amendments proposed by the Applicant, the Holder or third parties shall not apply, unless Synergrid expressly accepts them in writing in advance.
10.5. The Applicant must not disclose any non-public, individual or commercially sensitive information where this could give rise to a competition-law risk, unless this is necessary for a legitimate Homologation purpose and is carried out with appropriate safeguards.
11. Privacy, logging and storage
11.1. Synergrid processes personal data in connection with applications for Homologation in accordance with its privacy statement and the applicable data protection legislation. The privacy statement is for information purposes only and does not constitute an additional contractual guarantee.
11.2. Synergrid may, within the limits of the applicable legislation, use log records and similar data for security, access management, auditing, fraud prevention, incident investigation, compliance with applicable terms and conditions, and as evidence of access, actions, Applications, acceptances or communications.
11.3. Synergrid may retain, archive, restrict, delete or render inaccessible Application Files, uploaded files, file data and log data where necessary for legal, contractual, technical, security, evidential, audit or compliance purposes.
12. Charges, invoicing and suspension
12.1. The Applicant shall pay the applicable fees, charges and any external costs in a timely manner in accordance with the quotation, confirmation, price list, specific terms and conditions or Synergrid’s applicable General Terms and Conditions of Sale and Service.
12.2. Synergrid may suspend the processing of an Application, an additional assessment, publication, renewal or reassessment in the event of non-payment, a missing purchase order, incomplete invoicing details or any other breach of contract.
13. Suspension, revocation and termination
13.1. Synergrid may suspend, restrict, revoke or terminate a Homologation or the processing of an Application, in whole or in part, in the cases referred to in these Regulations or where this is reasonably required on grounds of safety, integrity, compliance, misuse, non-payment, incorrect or incomplete information, breach of applicable terms and conditions, or where the relevant basis no longer exists.
13.2. Where reasonably possible, Synergrid may provide an opportunity to remedy the breach. In the event of serious, deliberate or irreparable breaches, Synergrid may take immediate action.
14. Liability and indemnification
14.1. To the extent permitted by law, Synergrid shall be liable only for direct loss resulting from a fault attributable to it. Any liability for indirect or consequential loss is excluded.
14.2. Synergrid shall not be liable for any loss or damage arising from incorrect, incomplete or out-of-date information provided by the Applicant, incorrect interpretation or use of Technical Criteria, out-of-date or inapplicable versions, amendments made by the Applicant or third parties, external disruptions, missing professional or statutory checks, use outside the authorised scope, or decisions, uses or commercial communications by the Applicant, the Holder, customers or third parties.
14.3. The Applicant and, following the granting of the Homologation, the Holder shall remain responsible for the accuracy, completeness and up-to-date nature of the information provided, the conformity, safety, market authorisation and use of the product, system or application in question, and the correct use of the Homologation or Homologation status within the granted scope.
14.4. To the extent permitted by law, the Applicant shall indemnify Synergrid, its directors, employees, representatives, agents and subcontractors against any claims by third parties arising from a breach by the Applicant, the Holder or persons under their responsibility of these Regulations, applicable legislation, Technical Criteria, third-party rights or arising from the use, marketing or communication regarding the product, system, application or Homologation status in question.
15. Changes to the Regulations
15.1. Synergrid may amend these Regulations in response to changes in the law, technical developments, security concerns, new procedures, organisational requirements or compliance considerations. The current version is published or made available with the version date.
15.2. Changes apply to future Applications and, to the extent reasonable and permitted by law, to ongoing Application Files where this is required for reasons of security, integrity, compliance, legislation, the correction of errors or the prevention of misuse.
16. Other provisions
16.1. These Regulations are governed by Belgian law.
16.2. Subject to any mandatory legal provisions, the courts of Brussels shall have exclusive jurisdiction over disputes relating to Applications, Application Files, Technical Criteria, Decisions, Homologations or Homologation statuses.
16.3. Where there are multiple language versions, the version expressly designated as the contractually binding version shall prevail, subject to mandatory language legislation.
16.4. The invalidity, nullity or unenforceability of any provision shall not affect the remaining provisions. The provision in question shall, where possible, be replaced with, or interpreted so as to constitute, a valid provision with a similar purpose.
16.5. Any failure by Synergrid to exercise a right, or any delay in doing so, shall not be deemed a waiver of that right. A waiver of rights is only valid if made expressly and in writing.
16.6. Synergrid shall not be liable for any delay, failure or unavailability resulting from force majeure or circumstances beyond its reasonable control, such as supplier disruptions, cyber incidents, government measures, strikes, power or network failures, or technical incidents.
